Terms and Conditions of Rental

Welcome to The Tools Vault LLC (“The Tools Vault,” “Company,” “we,” “our,” or “us”).

At The Tools Vault, we combine the freedom of 24/7 automated tool rental with the peace of mind of expert support. Reserve online, unlock your tools with your phone or passcode, and get to work on your schedule. And when you need help, our team is available during peak hours to guide you, clean and prepare tools, and make sure every rental is job-ready. More convenient. More affordable. Always reliable.

By placing a rental order, accessing our premises, or using our tools, you (“Customer,” “you,” or “your”) agree to be bound by these Terms and Conditions.


1. Assumption of Risk & Release of Liability

By using any tool rented from The Tools Vault, you acknowledge and agree that:

  • Tool usage involves inherent risks, including personal injury, property damage, or death.
  • You are solely responsible for using tools properly, following manufacturer guidelines, and wearing appropriate safety gear.
  • You release and hold harmless The Tools Vault LLC, its owners, employees, and affiliates from any claims, damages, or liability arising from:
    • Injuries or accidents during use or transportation of tools
    • Your entry or activity on our premises (e.g., slips, trips, falls)

You assume full responsibility for any harm to yourself, others, or property.


2. Eligibility to Rent

To rent from us, you must:

  • Be at least 18 years of age
  • Possess a valid government-issued ID
  • Have a valid credit or debit card on file
  • Agree to these Terms digitally at checkout

3. Tool Inspection, Use & Customer Responsibilities

  • You are responsible for inspecting each tool before use. Report any issue immediately before using the tool.
  • Tools must only be used for their intended purposes and in compliance with applicable laws and safety standards.
  • Renting tools on behalf of another person without prior written approval is prohibited.
  • You may not alter, modify, or repair any tool.
  • Tools must be returned in reasonably clean condition. Excessive dirt, concrete, paint, or debris may result in a $25 cleaning fee.
  • Customers must immediately discontinue use and notify The Tools Vault if a tool malfunctions. Failure to report before continued use may result in liability for damages.

4. Access to Premises

  • Customers will receive a unique access code via email to enter The Tools Vault facility during their scheduled pickup time.
  • Access codes are only valid during your scheduled time slot. Once your pickup window expires, access will deactivate automatically.
  • Our facility is under live 24/7 video surveillance for safety and theft prevention.
  • Full face coverings (e.g., ski masks, balaclavas, or masks concealing your face) are not permitted. Violations may result in denied entry and possible reporting to authorities.
  • Access codes are for individual use only. Sharing access credentials is prohibited and may result in cancellation of rentals and/or legal action.
  • You are only permitted to retrieve the tool(s) listed in your reservation. Unauthorized removal will result in:
    • Immediate charges for additional items
    • Loss of future rental privileges
    • Potential legal action
  • In addition to automated access, The Tools Vault operates during limited staffed hours. During these times, customers may enter as walk-ins to request assistance, rent tools in person, or receive guidance from our staff.
  • Customers entering outside staffed hours do so at their own risk. Emergency services are not available on-site.

5. Rental Periods, Cancellations, and No Refunds

  • Tools are rented for a specific time period as selected during checkout.
  • Late returns will be charged for each additional time block; we do not pro-rate.
  • You must report any lost, stolen, or malfunctioning tool immediately.
  • All tools are inspected upon return. Damage beyond normal wear and tear will result in charges as outlined in Section 7.
  • Cancellations are only allowed before your scheduled pickup time.
  • No refunds will be issued for unused time, early returns, or dissatisfaction resulting from improper or unsafe tool use.

6. Security Deposit & Payment Authorization

  • A $100 security deposit is required for each rental and will be authorized on your card at checkout.
  • You authorize The Tools Vault LLC to charge your card for:
    • Rental fees
    • Late returns
    • Cleaning fees, damages, repairs, or replacement costs as outlined in Section 7
    • Lost, stolen, or unreturned equipment
  • Deposits will be released once the equipment is returned in satisfactory condition. Depending on your bank, this release may take 3–7 business days.
  • You authorize The Tools Vault to charge any unpaid fees directly to the payment method on file.

7. Tool Damage, Loss, and Theft

  • You are fully responsible for any damage, theft, or loss of tools while in your possession.
  • Fees are as follows:
    • $25 cleaning fee if the tool is returned in excessively dirty condition
    • $50 fee for tools returned with excessive blemishes, cosmetic damage, or minor functional damage
    • $100 fee or the cost of repair, whichever is greater, if the tool is returned broken or rendered non-functional
    • 100% replacement cost (charged to the card on file) if the tool is lost, stolen, or not returned
  • Some tools may be equipped with GPS tracking for anti-theft purposes. By renting, you consent to this tracking.

8. Prohibited Uses

You may not:

  • Use tools for illegal activity
  • Sub-rent or loan tools to third parties
  • Remove identifying marks or tamper with GPS/security devices
  • Use tools in unsafe environments or without proper precautions

9. Disclaimer of Warranties

All rentals and tools are provided “as is,” “as available,” and with all faults.”

  • The Tools Vault LLC makes no warranties, express or implied, regarding condition, performance, safety, or suitability.
  • We specifically disclaim all implied warranties, including merchantability, fitness for a particular purpose, durability, or non-infringement.
  • We do not guarantee that tools will meet your specific requirements or be error-free.
  • You accept full responsibility for determining the safe and proper use of any tool.

10. Limitation of Liability

To the maximum extent permitted by law:

  • The Tools Vault LLC, its owners, employees, and agents shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including lost profits, business interruption, or personal injury.
  • Our total liability shall not exceed the total rental fees you paid for the tool(s) at issue.
  • Some jurisdictions, including California, may not allow certain limitations. In such cases, liability will be limited to the fullest extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless The Tools Vault LLC and its members from any claims, damages, losses, or expenses (including attorney’s fees) arising from:

  • Your use or misuse of rented tools
  • Third-party injuries or property damage caused during use
  • Your violation of these Terms or applicable laws

12. Surveillance and Data Use

  • By entering our premises and using our tools, you consent to video surveillance and data collection for safety, theft prevention, and operations.
  • Access logs, entry data, and surveillance may be retained and used in the event of theft, disputes, or requests from law enforcement.
  • Personal data will be handled in accordance with our Privacy Policy.

13. Changes to Terms

We reserve the right to update these Terms at any time. Continued use of our services after updates constitutes acceptance of the revised Terms.


14. Governing Law & Jurisdiction

These Terms are governed by the laws of the State of California. Any disputes shall be resolved exclusively in the courts located in Placer County, California.


15. Dispute Resolution

In the event of a dispute, claim, or controversy arising out of or relating to these Terms, rentals, or services:

  1. Good Faith Negotiation – Parties must first attempt to resolve disputes through written notice and discussion for 30 days.
  2. Mediation/Arbitration – If unresolved, disputes shall be submitted to binding arbitration or mediation in Placer County, CA, under AAA rules, unless both parties agree otherwise. Arbitration replaces the right to a jury trial.
  3. Small Claims – Either party may pursue eligible claims in California small claims court.
  4. Class Action Waiver – Disputes must be brought individually, not as part of a class or representative action.

16. Attorney’s Fees

In any legal action or proceeding, the prevailing party is entitled to recover reasonable attorney’s fees and costs.


17. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.


18. Digital Acceptance

By clicking “I Agree” or completing a rental, you confirm that you have read, understood, and accepted these Terms and Conditions.
